This section outlines the terms for payments, subscriptions, cancellations, and refunds for services provided by AlphaWiseWin through our website (alphawisewin.com) and mobile application ("App").

13.1 Subscription Authorization and Payment

By ordering any subscription (including a trial period) through the website or App, you confirm that you have read and accepted these Terms of Service. You authorize AlphaWiseWin to automatically charge your selected payment method (e.g., bank card, PayPal, Apple Pay, Google Pay, or other supported methods) according to the billing period you choose (monthly or annually). Payments are processed securely through our payment providers, and you agree to provide accurate and complete payment information.

13.2 Billing and Introductory Offer

Subscriptions are billed in advance on a recurring basis (monthly or annually), depending on the plan selected.

A limited-time introductory offer may be available to new users, providing the first month of a monthly subscription at a discounted price. After the first month, your subscription will automatically renew at the standard monthly or annual rate, unless canceled beforehand.

This offer is available to new users only and can be redeemed once per account. It cannot be reused or combined with other promotions. By subscribing, you agree that the discounted first-month fee is non-refundable and that your subscription will continue unless you cancel before the next billing cycle.

13.3 Subscription Cancellation

All subscriptions are recurring and will automatically renew until canceled. Cancellation cannot be done within the AlphaWiseWin App for app store purchases.

For subscriptions purchased through the App (Apple App Store or Google Play Store):

You must cancel directly through the app store where the purchase was made. It's the user's sole responsibility to do the cancellation.

To cancel on the Apple App Store: Open the App Store on your iOS device, tap your profile icon in the top-right corner, select "Subscriptions," find the AlphaWiseWin subscription, tap it, and then tap "Cancel Subscription" to confirm.
To cancel on the Google Play Store: Open the Google Play Store on your Android device, tap the menu icon (three horizontal lines) in the top-left corner, select "Subscriptions," find the AlphaWiseWin subscription, tap it, and then tap "Cancel Subscription" to confirm.

Important: Uninstalling the AlphaWiseWin App does not cancel your subscription; you must follow the app store steps to stop charges.

For subscriptions purchased through the website:

If you cancel before the end of your current billing period, your subscription will remain active until the next billing date, after which it will terminate without further charges. No pro-rated refunds will be issued. If you wish to avoid charges after a trial period, you must cancel your subscription before the trial ends.

13.4 Refund Policy

No refunds are provided for monthly subscriptions, including those purchased under the discounted first-month offer.
No refunds are available for upgrades to a more expensive plan or for payments made using cryptocurrency.
The trial fee is non-refundable, and no refunds will be granted for free trials that convert to full subscriptions.
For annual subscriptions, we offer either a free trial or a discounted paid trial. You are responsible for canceling the subscription during the trial period if you do not wish to continue. No refunds will be granted after the trial period ends.
Users who file a chargeback, dispute, or claim with their payment provider are ineligible for refunds through AlphaWiseWin.

13.5 Failed Payments and Plan Adjustments

If auto-renewal fails (e.g., due to an expired payment method), we will attempt to charge your payment method for up to 7 days. If unsuccessful, your subscription may be suspended or terminated.

For annual subscriptions, if auto-renewal fails, your plan will automatically switch to a monthly subscription at the current rate upon successful payment, unless you cancel beforehand.

13.6 Bans and Subscription Access

Our moderators may warn or ban users (including those with active subscriptions) for violating these Terms of Service. If banned from publishing content or interacting with others, your subscription remains active, and you retain access to its data and features (where applicable). No refunds will be issued in such cases.

13.7 Payment Processing

AlphaWiseWin may use local subsidiaries or third-party entities to collect payments in certain regions. Regardless of the collecting entity, all payments are processed and managed by AlphaWiseWin, and services are provided solely by AlphaWiseWin.

14. FEEDBACK TO ALPHAWISEWIN

When you submit ideas, content, suggestions, documents, and/or proposals ("Contributions") to AlphaWiseWin via our product or feedback webpages, you agree that: (a) your Contributions do not contain confidential or proprietary information; (b) AlphaWiseWin has no obligation of confidentiality, expressed or implied, regarding the Contributions; (c) AlphaWiseWin is free to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any manner, in any media worldwide; (d) AlphaWiseWin may already have something similar to the Contributions under consideration or in development; (e) your Contributions automatically become the property of AlphaWiseWin, without any obligation of AlphaWiseWin to you; and (f) you are not entitled to any compensation or reimbursement of any kind from AlphaWiseWin under any circumstances.

15. INDEMNIFICATION

You may request the deletion of your account from AlphaWiseWin at any time by visiting your Profile Settings page. Upon your request, we will delete the personal data associated with your account in accordance with our Privacy Policy. However, certain personal data may be retained if it has been integrated into data essential to our systems and site, including data in communications you have sent via our site. This data is retained for the integrity of the site's data and our legitimate business purposes, such as auditing and security. Your published Contributions may remain on the site at our discretion. Once a Contribution has been published, it becomes part of the communal knowledge base and is intended to remain as such. You have the option to unsubscribe from marketing emails at any time by clicking on the unsubscribe link provided in the emails. Please note that you may still receive essential service-related communications even after unsubscribing from marketing emails.

Unauthorized access to or alteration of your transmissions or data;
The deletion of, corruption of, or failure to store and/or send or receive your transmissions or data on or through the service;

MAXIMUM LIABILITY: In no event shall AlphaWiseWin's total aggregate liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the service during the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

YOU AND ALPHAWISEWIN AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Unless both you and AlphaWiseWin agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative, class, or consolidated proceeding.

If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement shall be null and void.

21.4 Jurisdiction and Venue

If for any reason a dispute proceeds in court rather than through arbitration, you and AlphaWiseWin agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware, United States. You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.

21. International Users

If you are accessing AlphaWiseWin from outside the United States, you acknowledge that:

Your information may be transferred to, stored, and processed in the United States where our servers are located;
The data protection laws of the United States may differ from those of your country of residence;
By using AlphaWiseWin, you consent to the transfer of your information to the United States;
These Terms of Service shall be governed by Delaware law regardless of your location.

21.6 Time Limitation on Claims

You agree that any claim or cause of action arising out of or related to your use of AlphaWiseWin or these Terms of Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations or other law to the contrary.

21.7 Informal Resolution

Before initiating arbitration or filing a lawsuit, you agree to first contact AlphaWiseWin to attempt to resolve the dispute informally by sending a written description of your claim to our designated contact address. We will attempt to resolve the dispute informally by contacting you via email or other means. If the dispute is not resolved within sixty (60) days after submission, you or AlphaWiseWin may initiate arbitration or court proceedings as described above.

22. SEVERABILITY

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms of Service. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms of Service, and all other provisions shall remain in full force and effect.

23. ENTIRE AGREEMENT

These Terms of Service, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and AlphaWiseWin regarding your use of the service and supersede all prior or contemporaneous communications, agreements, and proposals (whether oral, written, or electronic) between you and AlphaWiseWin with respect to such subject matter.

24. WAIVER

No waiver of any term or condition of these Terms of Service shall be deemed a further or continuing waiver of such term or condition or any other term or condition. AlphaWiseWin's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

25. ASSIGNMENT

You may not assign, transfer, or delegate these Terms of Service or your rights and obligations hereunder without the prior written consent of AlphaWiseWin. AlphaWiseWin may assign, transfer, or delegate these Terms of Service and its rights and obligations hereunder without restriction, including to any affiliated entity or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
